1. THE SUBJECT OF THE AGREEMENT.
1.1. The “Customer” instructs, and the “Security” assumes obligations to accompany the material assets belonging to OJSC MKB “___________” located at the address: __________________________ (Appendix No. 1), in order to prevent material damage to the bank, by armed guards along the routes of the “Customer”, on the “Customer’s” vehicles.
1.2. In this case, support means the protection, prevention and suppression of any illegal actions aimed at the illegal seizure of property and funds of the “Customer”.
1.3. The security system is determined by the “Customer” in accordance with the developed Instructions and security requirements.
1.4. “Security” and “Customer” undertake to maintain strict confidentiality of information received from each other and take all possible measures to protect it. Transfer of confidential information to third parties and other disclosure of this information is prohibited.

2. RIGHTS AND OBLIGATIONS OF THE PARTIES.
"Security" undertakes:
2.1. Ensure the protection and escort of the “Customer’s” material assets in vehicle parking areas, along approved routes.
2.2. Security composition: a total of 7 guards armed with service weapons: IZH-71 pistol - 7 units; cartridges for IZH-71 pistols of 9x17 mm caliber - 112 pcs. According to the “Customer” work order, the working hours are from 07.00 to 21.00, four security guards per shift.
2.3. Security guards allocated for protection are guided by a special “Job description of a security guard”, Appendix No. 2.
2.4. Loading and unloading operations are not performed by security guards.
2.5. “Security” reports monthly to the “Customer” on the work done (Act - report on the work done).
The “Customer” undertakes:
2.6. Make payment for “Security” services within the period specified in Appendix No. 3.
2.7. Provide security guards with communications equipment and uniforms in accordance with service life.
2.8. Immediately notify the Security management of all shortcomings and cases of violations of service by security guards in order to take the necessary measures.
2.9. Use security guards strictly for their intended purpose to fulfill obligations under this agreement.
2.10. Promptly bring to the attention of Security any changes that have occurred on the routes.

3. SETTLEMENT PROCEDURE.
3.1. The amount, procedure and terms of payment by the “Customer” for “Security” services are determined by the parties and are documented in Appendix No. 3 to this Agreement.
3.2. By agreement of the parties, at the beginning of each year, the amount of the contract can be revised based on the level of inflation.

4. RESPONSIBILITY OF THE PARTIES.
4.1. For failure to fulfill or improper fulfillment of obligations under this agreement, the Parties are responsible in accordance with the current legislation of the Russian Federation.
4.2. “Customer” and “Security” bear equal responsibility for ensuring information security of transportation of material assets and undertake to maintain the confidentiality of the terms of this agreement.
4.3. “Security” enters into agreements on full financial liability with the direct executors: security guards.
4.3.1. The security guards bear full financial responsibility for damage caused by third parties to the “Customer” as a result of failure to provide adequate security, on the basis of an agreement on full financial liability concluded with the “Security”.
4.3.2. The guilt of the guards is established by the bodies of inquiry, investigation or the court.
4.4. As part of a brigade of collectors, security guards, on a daily basis, enter into agreements on full collective (team) financial responsibility with the “Customer”.
4.5. The amount of damage must be confirmed by documents verified from the accounting records of the “Customer” and the Report drawn up with the participation of the “Security”.

5. FORCE MAJEURE.
5.1. The “Parties” are released from liability for complete or partial failure to fulfill obligations assumed under this agreement, if such failure was the result of force majeure circumstances, namely: natural disasters, epidemics, explosions, fires and other emergency circumstances, if these circumstances directly affected execution of this agreement. In this case, the period of obligations under this agreement is postponed in proportion to the time during which such circumstances operated; if these circumstances continue to operate for more than three months, then either of the “Parties” has the right to terminate this agreement unilaterally. In this case, neither of the “Parties” will be entitled to damages.

6. DURATION OF THE AGREEMENT.
6.1. This agreement is concluded for a period of one year and is valid from ____________ to _____________ and comes into force from the moment it is signed by the “Parties”.
6.2. The contract is subject to unilateral termination if the other “Party” has committed gross and repeated violations of the terms of the contract. In this case, the “Party” initiating the termination of the contract sends a written notice of termination of the contract at least one month before termination.
6.3. If, at the time of expiration of the contract, none of the “Parties” has declared their desire to terminate it, the contract is considered to be concluded again for the same period an unlimited number of times.
6.4. This agreement may be amended, terminated or declared invalid on the grounds provided for by the current legislation of the Russian Federation or by agreement of the Parties.

7. OTHER CONDITIONS.
7.1. All disputes under this agreement are resolved through negotiations, and if no agreement is reached, the disputes shall be referred to the Arbitration Court.
7.2. All changes and additions to this agreement are formalized by an additional agreement and are an integral part of the agreement.
7.3. The Agreement is drawn up in two copies, one for each of the “Parties”. Both copies have equal legal force.

    The security team tasked with escorting the cargo must be staffed with the most trained employees. They must be licensed and everyone must have a
    decision to carry and use special equipment and firearms.

    - delivery of money from the bank to the company’s office, for example, for the subsequent payment of wages to employees,
    - transportation of money from the bank to the place of purchase of goods for the purchase of which a bank loan is taken,
    - delivery of cash and foreign currency from the bank to the exchange office and back,
    - delivery of funds from reserve funds and cash reinforcements from divisions of the Central Bank of Russia to cash settlement centers and operational cash desks of commercial banks.
    Even based on this list, which is far from complete, it is clear that these are not tasks of the same order and not everyone can solve them. But it also becomes clear that there are not enough Rosinkas specialists for everyone; they primarily serve the most respectable clients, and they set a considerable percentage of the transported amount. Therefore, it seems important that those persons who are at least periodically associated with the transportation of money and valuables understand the content of the activities of collectors and know the safety rules that must be followed in this work.
    To work as full-time collectors or employees periodically associated with the transportation of money and valuables, physically trained men who have undergone special training in the specialty of “private security guard” must be selected. The practice of the collection service has developed a rule of applying a 2-week probationary period for ordinary employees and one month for managers. A novice security guard involved in the transportation of money and valuables is assigned a mentor from among experienced employees, who must observe and control the actions of the newcomer for 2-3 months.
    When performing his official duties, the security guard (collector) must wear a special uniform. An exception to this rule is cases of encrypted transportation of money and valuables with elements of disguise of the transported object as objects of little value. For encrypted transportation, special schemes for changing the route and transportation time are used. To strengthen the transportation security regime, demonstrative loading, appropriate notifications to the client (who is warned about everything in advance) and other elements of a misleading nature can be used. A company engaged in the transportation of money and valuables or whose type of activity is associated with the periodic performance of such operations must keep a log of reports and memos. In the event of unusual or criminal situations arising during duty, the security guard is obliged to report this with a report or memo, keep a copy of the document and ensure that his report is recorded in the above-mentioned journal.
    During the performance of official duties, the collector is prohibited from:
    - perform actions not related to the collection and transportation of valuables,
    - carry on conversations with strangers when the car is stopped or move away from the car,
    - transmit information via radio station other than the list of information permitted for open transmission,
    - purchase goods and products, as well as use other services in serviced organizations,
    - leave entrusted valuables without personal supervision,
    - allow unauthorized persons to be present or travel in a special vehicle (even if there are no valuables in it),
    - accept for execution orders that do not comply with the established rules for the collection and transportation of valuables.
    Smoking is prohibited during collection of funds and transportation of valuables. This is due both to the threat of a fire in the car and to some physiological reactions that occur in a smoker. When combustion products of tobacco products enter the human body, a significant expansion of blood vessels occurs, which entails the body releasing blood reserves from the spleen and some other organs into the circulatory system. This may be accompanied by a feeling of a surge of vigor, sometimes in an overexcited state, a feeling of calm and other positive sensations. But, after a short time, the feeling of vigor, artificially improved reactive indicators of the body and other positive sensations stop. Therefore, it is not possible to talk about a stable sense of professional vigilance, adequate reaction in extreme situations and other necessary qualities in smokers.
    As mentioned above, during collection it is prohibited to travel or transport unauthorized persons in a special vehicle. If it is necessary to provide assistance to victims, collectors are required to contact the duty officer by radio and report the incident along the route. At the same time, the collection vehicle has no right to stop.
    There are several options for practical work on the collection and delivery of cash and other valuables by private security: in special vehicles, in vehicles for transporting valuables, in ordered vehicles or on foot (regular cash collectors work only in special vehicles). To ensure a minimum level of security, it is necessary to partially armor the vehicle, apply identification marks, be equipped with communications equipment, a radio beacon, a loudspeaker, special bags with electric shock devices and an alarm system. Specially equipped vehicles for the work of full-time cash collectors, in addition to those listed above, must meet additional requirements:
    - have closed or special bodies (armor protection of the body, including the floor and ceiling, internal metal shutters on the windows or metal blinds, special glass, etc.),
    - have improved driving characteristics,
    - have means of radio communication and interconnection between the driver’s cab and the body,
    - sufficient lighting must be installed in the body for transporting money and it must be equipped with heating devices,
    - the doors of the driver's cab and body must have special internal locking devices.
    As a general rule, renting third-party transport for transporting money and valuables is prohibited. This is only permissible in the case of a long-term rental of a car, subject to its special re-equipment and being under the constant control of the company leasing it.
    Several routes are prepared for each object, ensuring the maximum permissible speed, the minimum number of stops, the ability to detect criminal attention, and conduct maneuvers in motion. Entire routes or individual sections of them may change periodically. During movement, all-round control in sectors is required for each crew guard. The first and last 50 meters of the route are considered the most dangerous, so at this time maximum concentration of the crew’s attention is necessary. At traffic lights and railway crossings, there should be room for maneuver in case of need; windows should be closed and doors should be locked. Do not approach accident sites or obstacles on the way. The tactics of attacking collection vehicles involve organizing roadblocks around corners using, for example, several vehicles.
    Upon arrival at the site, the car should be parked each time in a new place with the wheels turned towards the exit and in the first 2-3 minutes after stopping, assess the situation, and then exit according to a certain pattern, except for the driver, who controls the sector in front and to the left of the car . For the delivery of money, the optimal composition is 3 guards, who move alternately, blocking dangerous directions to ensure that the guard with the money bag gets into the car first.
    The cash collection scheme for enterprises and organizations looks approximately as follows:

    - the senior collector and the driver of the vehicle are in the car, guard the collected proceeds and monitor the work of the collector-collector, ensuring his safety,
    - if collection is carried out by two employees, then the driver performs the duties of the senior one.
    The interaction of collectors during work is organized through gestures and other signals that are incomprehensible to outsiders. Before leaving the car, the weapon is put into combat mode and positioned with the barrel up (a hunting rifle is in front of you diagonally from hip to shoulder). The dimensions of bags for receiving money are agreed upon with clients in advance and must correspond to the volume of the machine's receiving pocket. The main requirement for parking is the ability to continue driving smoothly and quickly.
    Reception of bags with cash proceeds must be carried out by a cash collector in isolated premises. Not only unauthorized persons, but also employees of the enterprise or organization not related to monetary transactions should not be able to observe the process of handing over the bag to the collector.
    Along the route of the collection vehicle to the collection facility, as well as along the route of the collector-collector, the following are unacceptable:
    - cluttered driveways,
    - criminal objects close to the route,
    - dark corridors,
    - unlit courtyards,
    - related organizations that are not related to the object being collected, through which the collector must pass,
    - lack of convenient parking for collectors' vehicles.
    An important collection security rule is the obligation of a representative of an enterprise or organization to meet the collector with money and valuables when he gets out of the car and accompany the collector to the car when he collects bags with proceeds. When accompanying a collector with money and valuables, assistance should only be provided in the presence of a representative (security guard) in case of attack, harassment, etc. Bags with money and valuables must be carried by the collector himself before delivery or after collection.
    The time of collection, the sequence of driving around the objects being collected and the route of the collection vehicle must be kept secret. To ensure the safety of the cargo and its accompanying persons, transportation routes and times must change periodically. The optimal organization of operations is in which the driver of the vehicle learns about the upcoming route and the recipient of the money only when receiving the cargo or even while the vehicle is moving.
    According to the existing rule, the collection vehicle must drive up to the “back” entrance of the object being collected. Although in practice almost everywhere one can observe a completely opposite picture. This is partly due to the desire to shorten the route, and most often due to the fact that the entrances from the “back” door are either cluttered or inconvenient from the point of view of cash collection security.
    Collection of cash and valuables should occur as quickly as possible; the cash collector should not linger long while picking up bags. The collector accepts bags under seal without counting their contents.
    In the case where the person transporting money and valuables is responsible for the entire amount, the recount must be carried out in his presence.
    When transporting large amounts of money and valuables, it is necessary to use armed police or private security cover. It is also possible to use another technique, which involves transporting money and valuables in a discreet car with improved driving and other characteristics. The category of security techniques also includes the rapid reloading of money and valuables along the route from one car to another, provided that the first car continues to follow the same route.

    The most typical actions when preparing an attack:
    - while parked, criminals try to block the car, deprive it of maneuverability, to counter which it is necessary to drive around an obstacle or park the car at a different angle,
    - they try to get into the car and take possession of it while the crew is waiting, for this purpose they come into contact with the driver under any pretext that distracts his attention (asking a question, request, etc.), while they can act under the guise of traffic police officers and other intelligence agencies, newspaper sellers, women, disabled people and other seemingly harmless citizens. Any such attempt should be alarming, as it is a sign of a possible attack being prepared, which is immediately reported to the crew and the operational duty officer of the private security company or SLB (regular collectors - to the collection duty officer),
    - while moving, they try to block the car by cutting off or pushing it off the road, to counteract this, you should turn in the opposite direction or in the direction of safe movement,
    - they are pursuing a car transporting valuables. If pursuit is reasonably detected, it is necessary to try to get away from the attackers by pointing their car at an obstacle, overtaking in the right lane or by contact displacement,
    - simulating an accident on the road, as the most commonly used method of preparing for an attack.
    During the collection process it is extremely important:
    - choose the right route for collecting funds with increasing amounts accepted to the final destination, its secrecy, flexibility, reliable detection of criminal attention,
    - strive to minimize the time guards spend in open space and in a static position of the vehicle by placing it as close as possible to the exit from the client’s building, as well as by dashing towards the car with valuables,
    - maintain maximum vigilance in case of accidents, planned and unplanned stops.
    If situations arise in which security guards transporting money and valuables may use weapons, they should use the rules and requirements set out in Articles 16 and 18 of the Law on Private Detective and Security Activities. At the same time, it seems interesting to cite the rules governing the use of firearms by professional collectors.

    Service weapons are used by collectors:
    - to protect collected or transported funds and valuables,
    - to repel attacks by criminals when the life of the collector is in danger,
    - to detain criminals who have committed an attack on collection workers or the valuables and objects they protect.
    After using a weapon:
    - this fact is reported to the duty officer for collection and the duty officer of the territorial internal affairs body,
    - until bank employees and the police arrive at the scene of the incident, collectors remain in place and ensure the safety of valuables.
    It seems that the last rule, depending on the situation, may have different versions of mandatory execution. For example, if there is a threat of being attacked again, then it makes sense for the collection team to either not stop after using weapons, or immediately leave the place where the attack on the collectors was committed. But in any case, it is necessary to report the incident to the collection officer on duty and the police.
    Providing assistance to injured criminals should depend on the degree of probable danger to the lives of collectors and the safety of the money and valuables they transport. The decision to use a special vehicle to transport a wounded criminal should only be made in the most extreme cases. According to existing rules, the special collection vehicle does not stop when various criminal and other non-standard situations arise along the route, for example, an accident. Collectors must follow their own route and are only required to report the incident to the collection duty officer via radio.

    Collection service employees are prohibited from using firearms in the following cases:
    - on crowded streets, squares and other public places where unauthorized persons may be injured as a result of a shot,
    - against women and minors, except in cases of armed attack on their part,
    - in relation to citizens with children.
    Ensuring a proper security regime for collection is impossible without close cooperation with internal affairs bodies. In the process of interaction between the collection service and the police, the following tasks are solved:
    - equipment of alarm and security alarms for premises for storing cash and valuables, vehicles, weapons and ammunition,
    - issuing permits for collectors to carry, transport, store and use firearms and ammunition,
    - covering by police forces collection facilities and transportation routes for money and valuables,
    - escorting collectors' vehicles transporting large sums of money and significant amounts of valuables,
    - organizing communication between the duty units of the collection service and the police, as well as working out its clarity and reliability,
    - prompt exchange of information between the collection service and the police,
    - conducting joint exercises.
    To ensure proper security and the possibility of timely receipt of assistance, the collection service informs the duty department of the territorial internal affairs body about the following circumstances:
    - about the beginning and end of collection,
    - about changing the route and time of arrival at the collection facility,
    - on the collection of newly opened objects not included in the cover plan,
    - on the termination of collection of individual objects in connection with their liquidation, reorganization, etc.

    If it is necessary to deliver large sums of money to the bank from reserve funds, as well as if it is necessary to reinforce cash at cash settlement centers, the police are informed no later than 2 days before the transport operation. Any change in the delivery (check-in) schedule must be agreed upon no later than 5-6 hours in advance. If it is necessary to deliver funds from reserve funds or cash reinforcements to another region, the police escort collectors through their territory (within the region), and then transfer their car (vehicles) to a police escort (escort) of another region.

    To increase the reliability of operations for the collection and transportation of funds and valuables, it is necessary:
    - equip vehicles used for transportation with modern technical means of protection,
    - improve the system for selecting escort and security personnel,
    - improve the quality of operations planning,
    - carefully select employees related to planning and carrying out operations for the transportation of money and valuables,
    - think carefully about the route and time of the operation,
    - introduce identification cards for accompanying persons,
    - ensure a clear agreement between the sender and the recipient of valuable cargo on the methods and conditions of transportation (when, where, who and to whom the cargo is transferred),
    - use radio communications and automatic money coloring devices when attempting a robbery.
    Of no small importance for improving the level of professional skills can be played by special training sessions, which should be periodically conducted by employees of the collection service and those individuals working in commercial structures whose activities are associated with the transportation of money and valuables.
